EXHIBITOR DISPLAY APPLICATION AND CONTRACT
X________________________(hereinafter applicant) applies (and agrees to be bound by the terms set forth in this document, if accepted) for booth space for the purpose of displaying and selling Vintage Clothing and Jewelry at 625 Smith Ave, Nashville, Tennessee on the above stated dates from The Nashville Vintage Clothing and Jewelry Show(hereinafter referred to as NVCJ.) NVCJ is being produced by Vintage Promotions LLC and GKJ LLC.

NO DESIGNER REPRODUCTIONS OF ANY KIND WILL BE ACCEPTED OR TOLERATED. WE DO NOT ALLOW THE SALE OF ANY DESIGNER REPROS SUCH AS, BUT NOT LIMITED TO LOUIS VUITTON, COACH, CHANEL, GUCCI, AND THIS INCLUDES BUT IS NOT LIMITED TO PURSES, EYEWEAR, PENS, WALLETS, PURSES BACKPACKS ETC. NVCJ TAKE THIS RULE VERY SERIOUSLY AND IF ANY EXHIBITOR HAS ANY OF IT, THEY WILL BE ASKED TO LEAVE IMMEDIATELY.
Vintage/Antique Exhibitor Quality Standards: All merchandise must be approved by Vintage Promotions LLC. We ask for all merchandise to be at least 25 years old. Sometimes exceptions are made ahead of time. Merchandise is subject to our review at any time. If we determine by our sole discretion, that merchandise does not conform to show standards, it must be removed immediately.
Booth Size: Booth size is determined on an individual show basis. Please inquire about booth size or refer to the web site. Payment and Refunds: Booth rent must be paid in full or entrance to the show will not be permitted. Please make checks payable to: Vintage Promotions LLC. Checks that are returned unpaid will be charged an additional $50 reprocessing/bank fee. No rental fees will be refunded due to weather. No refunds will be given within 30 days of any show start date. Refunds will be given if requested more than 30 days before the start date of the show with a 20% processing fee deducted.
Set Up: Information on setup time and break down times will be provided within one week of each show.
Tables: Exhibitors must provide all their own tables and chairs unless rented from the facility through NVCJ.
Antique Exhibitor Quality Standards:/Business per booth: You may not split your booth with another EXHIBITOR without written permission ahead of time from us. The names of all booth staff must be registered with your application.
Customer Receipts: While we do not insist that you give a money back guarantee on all merchandise sold, if you do not offer refunds, YOU MUST write "No Refunds" on the receipt.
Pricing: All merchandise must be priced. No signs indicating “sale” or 75% off etc. will be permitted. Sales Tax must be collected based on the current tax rate in the municipality where the show is held.
Tax: Exhibitors are responsible for collecting and remitting tax to the State of Tennessee. Exhibitors much submit a valid resale number or a social security number and must abide by all state laws.
Photos: Exhibitor agrees that promoter may use photographic images taken at the show of merchandise and likeness in promotions and publications and that these images may be provided to media outlets and/or used in social media applications including Facebook, YouTube, and the like.
Laws Applicable: Exhibitors shall abide by and observe all laws, rules and regulations of the venue, state of Tennessee and the City of Nashville and department thereof. Responsibility: Exhibitors and Exhibitors of any kind are responsible for any damage caused to facility by vehicles. Exhibitors are responsible for actions of children and animals brought onto premises. NVCJ is not responsible for any damage or injury caused by vehicles of any kind, children or animals brought into shows.
Safety: Exhibitors shall refrain from obstructing pedestrian pathways and will immediately comply with any requests made by the Fire Marshall.
Damage to Property: The exhibitor is liable for any damage caused to standard booth equipment, or to other exhibitor’s property. The exhibitor may not mark, tack, make holes, apply paint, lacquer, adhesives or other coating to walls, ground, or standard booth equipment. Loss: NVCJ is not responsible for any loss or merchandise or personal items by theft or any other means while displaying at the show.
Insurance: The Exhibitor is responsible for providing its own insurance coverage for the risk of fire, theft, burglary, breakage, leakage, water damage and the risks of transport to and from the show, and assumes all risks of theft, fire, breakage, or other casualty associated with the show. NVCJ are not liable.
Disability Provisions: Exhibitor represents and warrants (i) that its exhibit will be accessible to the full extent required by law; (ii) that its exhibit will comply with the Americans with Disabilities (“ADA”) and with any regulations implemented by that Act; and (iii) that it shall indemnify and hold NVCJ harmless from and against any and all claims and expenses, NVCJ attorney’s fees and litigation expenses, including attorney’s fees and litigation expenses, that may be incurred by or asserted against its officers, directors, agents, or employees on the basis of the exhibitor’s breach of this paragraph or non-compliance with any of the provisions of the ADA.
Force Majeure: In the event any part of the exhibit area thereof is unavailable whether for the entire event, or a portion of the event, as result of fire, flood, tempest or any other such cause or as a result of governmental intervention, malicious damage, acts of war, strike, lock-out, labor dispute, or any other cause or agency over which we have no control, or should we decide that because of any such cause it is necessary to cancel, postpone, or re-site the Exhibit, or reduce the installation time, exhibit time, or move-out time, NVCJ shall not be liable to indemnify or reimburse the Exhibitor in respect of any damage or loss, direct or indirect, arising as a result thereof. Release- Neither NVCJ, nor any of their officers, agents, employees, or other representatives, shall be held accountable or liable for, and the same are hereby released from accountability for liability, for any damage, loss, harm or injury to the person or any fire, water, accident, or any other cause, and none of the parties hereto mentioned will obtain insurance against any such damage, loss, harm, or injury. The applicant hereby agrees to indemnify, defend and protect NVCJ and hold the above party from any and all claims, demands, suits, liability, damages, loss, cost, attorney fees and expenses of whatever kind of nature which might result from or arise out of any action or failure to act of the applicant or any of his or her employees, including but not limited to claims or damage or loss of property, or from or out of any damage, loss, harm or injury to the person or any person or any property of the applicant. Liability: NVCJ will not be responsible for damage to, loss, or theft of property belonging to or injury to any exhibitor, his agent, employees, business invitees, visitors, or guests.
Amendment of Rules: NVCJ reserves the right to make changes, amendments, and additions to these rules at any time and all changes, amendments and additions so made shall be binding on the exhibitor with the provision that all exhibitors will be advised of any such changes. Any matters not specifically covered herein are subject to decision by NVCJ. This agreement is governed by the laws of the State of Tennessee, USA. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the vendor and NVCJ and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings. It is the express wish to the parties that this agreement and all related documents are drawn up in English.
I/We have read, accepted, and agreed to the Terms and Conditions and understand all conditions and acknowledge that all applications will be rejected without the information below. ALL INDIVIDUAL PARTIES MUST SIGN A CONTRACT. ONE INDIVIDUAL MAY SIGN FOR A BUSINESS.
